Terms of Service

1. Who we are
AROS Cloud Federation ("the Service") is operated by 合同会社 Nexitia(ネクシア) (Nexitia LLC) and served from nexitia.ai. The Service provides a metered LLM gateway, brain federation sync, a skill and tool marketplace, and hosted Online Apps for research teams.

These terms apply to everyone who signs in to the Service or connects a local AROS instance to it. If you use the Service on behalf of an organization, you confirm you are authorized to accept these terms for that organization.
2. Pre-release status
The Service is in pre-release. This is not boilerplate — it changes what you should expect:
- Checkout and billing run in a sandbox and take no real payment.
- Online App availability and permitted inputs are described by the individual app. Pre-release access does not imply a commercial service commitment.
- There is no service level agreement, no uptime commitment, and no guarantee that data you upload during pre-release will be preserved across changes to the platform.
- Features may change or be withdrawn without notice.
Do not use the Service as the system of record for anything you cannot afford to lose.
3. Accounts and access
Access is granted per organization and reviewed by an administrator. We authenticate you through Google Sign-In; we never receive, see, or store your Google password.
You are responsible for:
- the accuracy of the account details you provide;
- everything done through your account and through API keys issued to your organization;
- keeping your API keys secret. Keys beginning with "ak_" authenticate your local AROS instance server-to-server. Treat them like passwords, rotate them if exposed, and never commit them to a repository.
We may suspend or revoke access, with or without notice, where we reasonably believe these terms have been breached or where continued access threatens the Service or other users.
4. What you must not send us
This section is the most important one in this document.
The Service is not built to receive regulated or identifiable data, and you must not send it. Specifically, you must not upload, transmit, or otherwise make available through the Service:
- raw patient records, protected health information, or any HIPAA-regulated information;
- personally identifiable data about research subjects;
- raw sequencing data, proprietary sequences, or raw instrument images;
- data you are not authorized to disclose, whether by contract, licence, institutional policy, ethics approval, or law.
This is an architectural boundary as well as a contractual one. The platform specification states that the cloud service must not store raw lab data, and brain snapshots are designed to carry only metadata, skill definitions, and semantic facts. Autonomous agents run on your own hardware, not in our cloud.
If you send us such data anyway, you do so in breach of these terms and remain responsible for the consequences. Tell us promptly at support@nexitia.ai so we can help remove it.
5. Acceptable use
You must not:
- attempt to circumvent metering, quotas, credit limits, or access controls;
- probe, scan, or attempt to breach the Service or another organization's data;
- resell or sublicense gateway capacity except as expressly agreed;
- use the Service to generate unlawful material, or in breach of the terms of the upstream model providers the gateway proxies to;
- submit deliberately false information to the marketplace, including fabricated benchmark figures, download counts, or reviews.
6. Your content and ours
You keep all rights in the content you upload — your skills, pipelines, datasets, snapshots, and results. You grant us only the limited licence needed to host, process, transmit, and back up that content so we can operate the Service for you.
We keep all rights in the Service itself: the platform, its interfaces, documentation, and branding.
Content you choose to publish to the marketplace is reviewed by a human curator before it appears; we do not auto-generate or auto-sync catalogue entries. We may decline to publish, or withdraw, any submission.
7. Availability and changes
We aim to keep the Service running but do not promise uninterrupted availability. We may change, suspend, or discontinue any part of it. Where a change would materially reduce what you already rely on, we will give as much notice as is reasonably practical.
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Outputs from language models are not verified facts. The gateway proxies requests to third-party models whose outputs can be wrong, biased, or fabricated. Nothing the Service produces is scientific, clinical, diagnostic, or professional advice. You are responsible for validating any result before acting on it, and for any decision you make on the basis of it.
9. Limitation of liability
To the fullest extent permitted by law, neither 合同会社 Nexitia nor its suppliers will be liable for indirect, incidental, special, consequential, or exemplary damages, nor for lost profits, lost data, or business interruption, arising out of or relating to the Service.
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
10. Termination
You may stop using the Service at any time. We may terminate or suspend access as described in section 3. On termination we will, on request and where technically able, provide an export of your organization's data before deleting it, subject to the retention described in our Privacy Policy.
11. Changes to these terms
We may revise these terms. The revision date at the top of this page always reflects the current version. Material changes will be notified through the Service or by email to the organization's registered address. Continuing to use the Service after a change takes effect means you accept the revised terms.
12. Governing law
These terms are governed by the laws of Japan, and the courts of Japan have exclusive jurisdiction over any dispute arising from them.
